This highly visible position partners closely with executive leadership, directors, legal teams, auditors, and external advisors to ensure the Company meets all SEC, NYSE, regulatory, and governance requirements.This role offers a unique opportunity to influence the integrity, accuracy, and timeliness of corporate records, SEC filings, shareholder services, and Board activities within a complex, highly regulated public company environment.What You'll DoCorporate & Subsidiary GovernanceLead daytoday entity management, ensuring the accuracy and integrity of corporate and subsidiary records across domestic and international jurisdictionsManage the company's entity management system and oversee organizational charts and subsidiary reportingCoordinate incorporations, reorganizations, mergers, dissolutions, and other entityrelated transactionsPartner with global legal teams, registered agents, joint venture partners, and external counsel to maintain compliance with local and foreign regulationsSEC & NYSE ComplianceServe as the primary contact for EDGAR Next administration and Section 16 insider filingsPrepare and file Forms 3, 4, and 5 and support the timely filing of Forms 8K, 10K, 10Q, Proxy Statements, and related disclosuresManage Director and Officer questionnaires and support insider compliance processesEnsure compliance with NYSE governance requirements, including affirmations, dividend reporting, and required notificationsProxy Statement & Annual MeetingCompile and maintain executive and director compensation disclosuresDraft and update assigned sections of the Proxy Statement and manage proxy calendarsCoordinate with internal teams, outside counsel, transfer agents, proxy solicitors, and vendorsSupport annual meeting logistics, proxy distribution, vote tabulation, and required documentationShareholder & Equity ServicesAct as the primary liaison with various public company service providersReconcile shareholder and treasury stock balances and generate shareholder reportsSupport shareholder inquiries and dividend communicationsBoard & Committee SupportPrepare drafts of Board and Committee meeting minutes, resolutions, and agenda materialsMaintain Board action tracking, governance records, and Board portal contentSupport Director onboarding/offboarding, conflict checks, and governance documentationGovernance Administration & Special ProjectsAdminister governance calendars, trading windows, delegation of authority, and corporate policy updatesMaintain corporate governance documentation, public disclosures, and Board reference materialsSupport Treasury, M&A, Real Estate, and Tax teams with KYC documentation, data rooms, and transaction supportPartner with Internal and External Audit teams on SOX and governancerelated audit activitiesMinimum Hiring RequirementsBachelor's degree10+ years of experience in corporate governance, SEC compliance, or a comparable role within a publicly traded company, legal department, or professional services environmentDeep knowledge of SEC, NYSE, and public company governance requirementsKey Job ResponsibilitiesExceptional judgment and discretion with highly confidential informationStrong written and verbal communicatio skills with the ability to influence at senior levelsHighly organized, detailoriented, and able to manage multiple priorities in a fastpaced environmentProactive, solution-focused professional with a strong sense of accountability and ownershipConfident partnering with executive officers, directors, auditors, regulators, and external advisorsPositive, collaborative team player with a growth mindsetWhy You'll Love Working HereAir Products offers competitive pay and great benefits for our employees.Affordable medical, dental, and vision insurance available day one of employment401(k) retirement savings plan with 100% vested company core and matchPaid vacation, holidays, and sick timePaid parental leaveAdoption assistanceFlexible Spending Accounts (medical, dependent daycare)Health Savings AccountLife Insurance (AD&D), Supplemental AD&DEmployee Assistance Program (EAP)Join Air Products, where we proudly value the skills, dedication, and leadership that veterans bring to the table.
