Hi, I'm Juhi Banerjee, your Recruiter and guide to joining CSG We are excited to learn more about you and your unique background.We are looking for a Paralegal who will:Entity Management:- Have primary responsibility for managing CSG's global subsidiaries. Draft, review, and file organizational and entity compliance documents, including coordination of incorporation, dissolution, and restructuring activities- Serve as primary administrator of corporate governance systems and entity management platforms- Facilitate the appointment and education of directors of various subsidiary entities and manage passport and power of attorney requestsCorporate Governance- Maintain corporate governance records, including charters, bylaws, board and committee materials, resolutions, consents, and minute books- Maintain capitalization tables, stock records, and support equity administration and disclosure requirements- Partner with Legal, Finance, Tax, and external counsel to ensure accurate, timely, and compliant corporate and subsidiary filingsSEC Reporting- Support public company governance and disclosure obligations, including preparation and filing of SEC reports and related exhibitsM&A Support- Play an important role in M&A and strategic transactions, including due diligence support, managing closing checklists, generating redlines and signature pages, and other general supportIs this opportunity right for you?
