Job Description

The position's primary job responsibilities include:- Provide support to attorneys and senior paralegals on corporate and commercial real estate transactions, including mergers and acquisitions, entity formations, acquisitions, dispositions, and financings.- Prepare, organize, and maintain transaction documents, signature packets, closing binders, and closing checklists. Track transaction timelines and deadlines.- Assist with due diligence and draft routine corporate documents, including UCC filings, certificates, resolutions, and organizational charts under attorney supervision.- Coordinate state and regulatory filings and maintain corporate and transactional records.- Prepare closing binders and assist with post-closing documentation and deliveries.- Maintain electronic and physical files in accordance with firm policies and procedures.- Communicate professionally with internal teams and external service providers. All members of the firm are encouraged to participate in our Responsible Business program.- Meet the minimum requirement of 1,650 annual billable hours.- Other duties as assigned.
