Foley &Lardner LLP is currently seeking a Corporate Transactions Paralegal tojoin our nationally recognized Corporate and Health Care practicegroups. This role provides critical support to attorneys and clientsacross a diverse range of industries, including hospitals and healthsystems, technology-enabled service providers, and life sciencescompanies. The ideal candidate will have a strong background incorporate governance, transactional support, and health care regulatorycompliance, with proven experience managing complex projects anddeadlines in a fast-paced legal environment. #LI-Hybrid ResponsibilitiesRequest, draft, prepare and file corporate documents across multiplejurisdictions Liaise with governmental agencies, state/local licensingorganizations for entity formations, foreign qualifications, applicationand licensing approvals, and IRS filings Support attorneys duringmergers and acquisitions, including due diligence, lien searches, UCCfilings, ordering certified documents, and preparing closingdeliverables Draft closing agendas, organize signatures and closingdocuments, manage post-closing matters, and maintain transactionchecklists Track tasks and deliverables, communicate status updates, andensure timely completion of client and attorney requests Administerstock ledgers, electronic corporate records, minute books, compliancefilings, annual reports, and client data rooms Conduct research andprepare summary analyses for attorney review Consistently achievebillable hour expectation set by the firm (including approvednon-billable time) Qualifications Bachelor's degree, paralegalcertificate, or four (4) years of equivalent work experience requiredMinimum of three (3) years of relevant paraprofessional experience in alaw firm or professional services environment required Strongunderstanding of corporate transactions, entity management, andinteraction with state and government agencies Advanced proficiency inMS Word, Excel, and PDF software; ability to quickly learn newapplications Exceptional organizational and time...
