The Senior Commercial Contracts Manager role will be a driving force behind the success of the Legal team, and will be a u201cjack of all tradesu201d supporting the legal function in a wide range of commercial contracts. This is a senior individual contributor role that serves as a primary contracts expert for complex and strategic deals. This person will have an important role in improving the overall operational efficiency of the Legal team, and will have the freedom to identify key areas of improvement for the Legal team and tackle them. This role will be based in any of our US located offices (Little Rock, AR, San Francisco, CA, or New York, NY) and will interface with business teams to negotiate and execute on a wide range of exciting commercial initiatives requiring creative and proactive legal guidance. This is an opportunity to make a high-impact contribution to a fast-paced organization operating on the cutting-edge of the Ad/MarTech industry. This role reports to LiveRampu2019s Managing Counsel. You will: + Negotiate and draft complex and strategic commercial agreements, with the ability to capture complex legal and business concepts in a clear, concise, and easy-to-understand manner, operating with minimal supervision. + Serve as a senior contracts expert for designated products, regions, or segments, shaping deal strategy and recommended risk positions for stakeholders. + Negotiate agreements with suppliers in accordance with LiveRamp contracts policies and procedures while leveraging subject matter experts as needed. + Lead and collaborate with numerous internal stakeholders, including sales, finance, product, privacy, customer success, and business development on the sales cycle and risk mitigation to ensure all relevant interests are represented and aligned. + Provide proactive guidance to cross-functional teams on commonly requested edits, non-standard terms and general contractual questions. + Make independent decisions with respect to balancing the need to be customer-responsive with that of protecting the LiveRampu2019s interests. + Support the business and legal team members on legal review for Request for Proposal (RFPs), security questionnaires, and a variety of other customer-driven requests. + Respond promptly to the demands of an active SaaS sales team. + Provide informal mentorship and guidance to more junior contracts professionals and cross-functional partners on negotiation strategy, contract structures, and risk trade-offs. + Be a champion for a better, faster and simpler way of doing things, regularly identifying and implementing improvements to contracts templates, playbooks, and processes for the broader team. About you: + At least 3u20135+ years of experience independently drafting and negotiating commercial contracts in contracts manager or similar roles + Demonstrated experience working cross-functionally and preferably with sales, finance, product, privacy, marketing and customer success teams + Comfort with ambiguity, multi-tasking, and independence, including making sound judgments in situations with incomplete information or competing priorities + Track record of identifying and implementing process or tooling improvements for a contracts or legal team + Bonus Points: Prior experience working preferably with an Adtech/Martech, SaaS, data, or similar technology company The approximate annual base compensation range is $112,000 to $165,000. The actual offer, reflecting the total compensation package and benefits, will be determined by a number of factors including the applicant's experience, knowledge, skills, and abilities, geography, as well as internal equity among our team.
