About this role: Wells Fargo is seeking a Senior Counsel (Senior Assistant Vice President) to provide legal support for the Commercial Real Estate (CRE) business, with a focus on syndicated lending and real estate finance. This role supports loan originations and related activity across bilateral and syndicated transactions, including construction, acquisition, and complex portfolio financings. You will advise on a range of specialized real estate asset classesu2014hospitality, digital infrastructure/data centers, and seniors housingu2014helping structure and negotiate sophisticated credit facilities. The position also supports syndicated loan activity and subordinate debt structures, including senior/mezzanine and A/B loans. You will partner closely with business leaders and crossu2011functional legal teams to manage legal risk, drive transaction execution, and support strategic growth across highu2011visibility CRE markets. In this role, you will: + Lead or participate in moderately complex initiatives and deliverables and contribute to large-scale planning + Review and analyze moderately complex challenges that require an in-depth evaluation of variable factors + Provide guidance to internal clients on legal matters to assist with legal risk assessment, planning and policy decisions, claims against the Company, probability of loss, and develop cost-effective risk mitigation strategies + Draft documents, and review and negotiate documents prepared by outside counsel + Independently resolve moderately complex issues and lead team to meet deliverables + Identify and analyze complex legal issues, develop conclusions, and make recommendations for issue resolution + Collaborate with peers, colleagues, and mid-level managers to resolve issues and achieve goals + Lead projects, teams, or serve as a mentor for less experienced staff + Work directly with business clients and develop an in-depth understanding of business unit activities and products + Partner with business leaders and management of other corporate departments to develop and implement risk management programs Required Qualifications: + 4+ years of Law experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education + Active State Bar membership or the equivalent in a country outside the United States Desired Qualifications: + Experience as a practicing attorney in representing clients with respect to commercial real estate loan originations, syndications, and other Commercial Real Estate (CRE) transactions + Experience with CRE balance sheet lending, loan syndications, and structured lending + Experience with construction finance + Familiarity with lending activity for specialized real estate asset classes, including hospitality, data centers and seniors housing + Experience with title and survey matters + Extensive experience conducting research and providing counsel and guidance regarding complex legal issues + Strong attention to detail and accuracy + Ability to work effectively in a complex environment with a high degree of collaboration Pay Range Reflected is the base pay range offered for this position. Pay may vary depending on factors including but not limited to demonstrated examples of prior performance, skills, experience, or work location.
