Description We are partnering with a wellu2011established, Minneapolisu2011based investment management firm focused on private credit and direct lending within a specialized, assetu2011backed sector. The firm is seeking a Corporate Counsel to join its inu2011house legal team and support a growing direct lending platform. This role offers meaningful exposure to complex, middleu2011market lending transactions from diligence through closing and beyond. The team is intentionally looking for a junior to midu2011level attorney (ideally 3u20135 years of experience) who is eager to deepen their expertise in private credit and grow within a sophisticated investment environment. Key Responsibilities + Serve as a core legal partner to the firmu2019s private credit platform, supporting direct lending transactions from early diligence through funding and postu2011close matters + Prepare, review, and negotiate a wide range of financing and lending documents, including preliminary deal terms and definitive agreements + Advise on and manage ongoing loan activity, including amendments, consents, waivers, and other postu2011closing modifications + Work closely with internal stakeholders across investment, compliance, and operations to align legal guidance with business objectives and regulatory requirements + Oversee and coordinate external counsel, ensuring highu2011quality work product, efficiency, and practical deal execution + Identify and assess legal and commercial risk throughout the lifecycle of credit investments, including workouts and restructuring scenarios + Draft and negotiate confidentiality and related ancillary agreements in connection with transactions and business initiatives + Contribute to special projects and evolving legal needs as the platform continues to grow Requirements Required Qualifications + Juris Doctor (JD) from an accredited law school + Admitted to practice in Minnesota + 3u20137 years of relevant legal experience in banking, finance, restructuring, and/or private credit + Strong drafting and negotiation skills + Familiarity with cashu2011flow lending structures + Understanding of investment strategies Why This Opportunity Stands Out + True inu2011house role with direct access to senior investment leadership + Handsu2011on involvement in sophisticated direct lending transactions + Opportunity to grow alongside a highly experienced investment and legal team + Longu2011term professional development focus rather than a plugu2011andu2011play senior hire + Competitive compensation and benefits within a stable, wellu2011capitalized organization Important Note on the Application Process This search is being conducted on a confidential basis.
