In House Counsel

Description We are looking for an experienced In-House Counsel to join our team in San Diego, California. This Contract to permanent position requires a skilled legal expert to handle complex commercial transactions and agreements while ensuring compliance with industry standards. The ideal candidate will thrive in a fast-paced environment, offering expert legal guidance to support business operations. Responsibilities: u2022 Draft, review, and negotiate a variety of agreements, including client service contracts, business associate agreements, and requests for proposals. u2022 Manage legal agreements from initiation to completion, ensuring accuracy and compliance with company policies and industry regulations. u2022 Address legal concerns related to privacy, confidentiality, non-disclosure agreements (NDAs), and other compliance issues. u2022 Provide timely feedback on agreements, understanding deal structures, and suggesting revisions as necessary. u2022 Engage in negotiations to resolve contractual terms and conditions effectively. u2022 Acknowledge receipt of agreements and ensure a turnaround time of approximately two weeks. u2022 Collaborate with internal teams to align agreements with the company's strategic goals and legal standards. u2022 Support training initiatives by utilizing company playbooks to streamline agreement processes. Requirements u2022 Active attorney license in the jurisdiction where you reside. u2022 Minimum of 7 years of experience handling commercial transactions. u2022 Extensive knowledge of vendor agreements and privacy-related legal matters. u2022 Background in the insurance brokerage industry or employee benefits. u2022 Proven expertise in contract negotiation and drafting. u2022 Strong understanding of non-disclosure agreements and confidentiality clauses. u2022 Ability to work independently while managing multiple legal projects. u2022 Excellent communication and analytical skills to provide effective legal solutions.
