EMCOR companies plan, install, operate, maintain, and protect the sophisticated and dynamic systems that create facility environments—such as electrical, mechanical, lighting, air conditioning, heating, security, fire protection, and power generation systems—in virtually every sector of the economy and for a diverse range of businesses, organizations, and government.ThiThThis position provides support to the Legal department on general corporate matters and conducts the full spectrum of corporate maintenance activities.ThisSpecifically, the Corporate Paralegal is responsible for the following:Maintenance of corporate minute books for subsidiaries including preparation of shareholder and board resolutions electing directors, officers and approving necessary transactionsMaintenance of annual calendar and attend to filing of annual reports in domestic and foreign states for all subsidiariesPreparation and review of corporate qualifications, name changes, fictitious name filings, mergers, withdrawals and dissolutions for subsidiariesAssist subsidiaries with legal and contract requirements including trades licenses Coordinate with subsidiaries requiring a clearance with Department of Defense Process complaints/subpoenas served on all corporate entities Coordinate with Tax, Accounting, Marketing, Operations, Human Resources, and Risk Departments regarding pertinent corporate and related information Assist on due diligence and closing of corporate mergers and acquisitionsAssist with financings and related documents, including UCCs Corporate Paralegal qualifications and experience required include:Minimum of 3 years’ experience at a large law firm or in a complex in-house corporate environmentBaccalaureate degree and paralegal certificate preferredStrong organizational, oral, and written communication skillsSelf-motivated and detail orientedAbility to prioritize workflow and perform effectively as a team memberAbility to manage multiple tasks and meet deadlines on a daily basisStrong analytic skills, including interpreting government statutes and regulations and technical proceduresStrong command of the Microsoft O365 Suite, including Copilot, Excel, PowerPoint, Vizio, Teams, as well as proficiency with SmartSheet, and DocuSign #emcorAs a leading provider of mechanical and electrical construction, facilities services, and energy infrastructure, we offer employees a competitive salary and benefits package and we are always looking for individuals with the talent and skills required to contribute to our continued growth and success.
