About the Team: The Legal department has deep expertise in all core practice areas relevant to a global media and information company, including labor and employment, commercial agreements across all our businesses, privacy, intellectual property, M&A, litigation, corporate governance, compliance, media law and a variety of other specialties. The team is also responsible for the company's compliance program, including screening for compliance with international sanctions, enforcement of company policies"”such as the Dow Jones Code of Conduct"”and bolstering internal systems and controls. About the Role: Dow Jones is seeking an experienced full-time Corporate Paralegal to join the Dow Jones Legal Department in its New York City or Princeton, NJ office. You Will: Corporate Governance: Assist attorneys in drafting and reviewing corporate governance documents, such as bylaws, board resolutions, meeting minutes, and policies. Maintain and update corporate records, including entity formation documents, board and shareholder resolutions and corporate governance databases. Assist with preparation and filing of regulatory documents, including annual reports and disclosures. Project Management: Collaborate with project teams (both within and outside the Corporate Legal group) to develop project plans, including defining objectives, scope, timelines, and resource allocation. Create and maintain task lists, assign responsibilities, and track progress to ensure deadlines are met and objectives are achieved. Facilitate clear and timely communication among project team members, clients, and other relevant parties to provide updates, address issues, and ensure alignment with project goals. Maintain accurate project documentation, including status reports, meeting minutes, and other relevant records. Contracts: Assist attorneys with preparation, review, negotiation and execution of various contracts. Create and maintain contract database. You Have: A paralegal certificate. At least 3 years experience as a corporate paralegal at a law firm or corporate legal department. Strong understanding of corporate governance principles, laws, and regulations. Some understanding of Legal operations or project management functions. Some understanding of contracts and contract management. Excellent interpersonal, communication, organizational and follow-up skills. Ability to simultaneously manage workloads, multiple demands and shifting priorities within a fast-paced, rapidly evolving environment. A dedication to ethics and professional responsibility.
